References are made to the announcement of FSE Engineering Holdings Limited (now known as FSE Services Group Limited) (the "Company") dated 27 February 2018, the circular of the Company dated 20 March 2018 (the "Circular") and the announcement of the Company in relation to the poll results of the Extraordinary General Meeting held on 10 April 2018 (the "Poll Results Announcement") in relation to, among other things, (i) the Proposed Acquisition and the date of Completion of the Proposed Acquisition; (ii) the 2018 Master Facility Services Agreements and the Services Transactions contemplated thereunder; and (iii) the proposed Change of Company Name.

Unless otherwise specified, capitalised terms used in this announcement have the same meanings as defined in the Circular.

COMPLETION OF THE PROPOSED ACQUISITION

The Completion of the Proposed Acquisition took place on 11 April 2018 as announced in the Poll Results Announcement of the Company dated 10 April 2018. Each Target Entity became a wholly-owned subsidiary of the Company as from 11 April 2018 and their financial results, assets and liabilities will be consolidated in the financial statements of the Company.

CONTINUING CONNECTED TRANSACTIONS

The Board is pleased to announce that the Company has entered into each of the 2018 Master Facility Services Agreements on 11 April 2018. The major terms of each of the 2018 Master Facility Services Agreement were set out in the Circular.

CHANGE OF COMPANY NAME

The Board is pleased to announce that the Certificate of Incorporation on Change of Name of the Company was issued by the Registrar of Companies in the Cayman Islands on 11 April 2018, certifying the change of the official registered English name of the Company from "FSE Engineering Holdings Limited" to "FSE Services Group Limited", and the adoption of the Chinese name "豐盛服務集團有限公司" as the dual foreign name of the Company in place of the existing Chinese name "豐盛機電控股有限公司".

The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 25 April 2018, confirming the registration of the new English and Chinese names of the Company "FSE Services Group Limited 豐盛服務集團有限公司" in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) with effect from that date.

EFFECT OF THE CHANGE OF COMPANY NAME

The change of the Company's name will not affect any of the rights of the Shareholders. All existing share certificates in issue bearing the former name of the Company are valid for trading, settlement and registration purposes. There will not be any arrangements for free exchange of the existing share certificates of the Company for new share certificates under the new name of the Company. However, new share certificates of the Company will be issued under the new name of the Company.

CHANGE OF STOCK SHORT NAME

The stock short name of the Company for trading in the Shares on the Stock Exchange will be changed from "FSE ENGINEERING" to "FSE SERVICES" in English and from "豐盛機電" to "豐盛服務集團" in Chinese with effect from 9:00 a.m. on 4 May 2018. The stock code of the Company will remain unchanged as "331".

CHANGE OF COMPANY LOGO

With effect from the date of this announcement, the Company has adopted a new logo which will be printed on the relevant corporate documents of the Company, including but not limited to the Company's share certificates, promotional materials, interim and annual reports, announcements, circulars and corporate stationery.

CHANGE OF COMPANY WEBSITE

The website of the Company will be changed from "http://www.fseng.com.hk" to "http://www.fseservices.com.hk" with effect from the date of this announcement to reflect the change of the Company's name.

As at the date of this announcement, the Board comprises Dr. Cheng Kar Shun, Henry (Chairman) and Mr. Wong Kwok Kin, Andrew as non-executive Directors, Mr. Lam Wai Hon, Patrick (Vice-Chairman), Mr. Poon Lock Kee, Rocky (Chief Executive Officer), Mr. Doo William Junior Guilherme, Mr. Lee Kwok Bong, Mr. Soon Kweong Wah and Mr. Wong Shu Hung as executive Directors, Mr. Kwong Che Keung, Gordon, Mr. Hui Chiu Chung, Stephen, Mr. Lee Kwan Hung and Dr. Tong Yuk Lun, Paul as independent non-executive Directors.
